  • The name must not be a dupe. It should sound different from existing companies or LLPs.  
  • A name should not coincide with any registered trademarks. Even if a name sounds different, if it looks similar to a big brand, the government straightaway rejects it. 
  • Often, the government is fond of names that resonate with the business activity. Let’s say a person starts a tech company that has words like "technologies" or "solutions"; it sounds perfect and explains its activity. 
  • Certain words like "national," "federal," or "government" cannot be used casually in names. This needs special permission. A person must say no to these terms unless he or she has specific authority to use either of them. 

Step 2: Deciding the Business Structure

Here, the business model becomes crucial, describing how a person registers its name. Each model or structure follows a unique set of rules, which are

1. Sole Proprietorship

He is the one who single-handedly runs a business and does not want to register as a separate legal entity. 

  • The Process: There is no significant registry made for proprietorship names. Instead, the owner registers a name through a Shop & Establishment Act license in the state where it is.
  • Trademark: There is a scope for a duplicate name of the business because it is not registered nationally. So, the owner must apply for a trademark to prevent others from creating a duplicate brand name. 

2. Partnership Firm

This is a joint venture where two or more people run a business as a partnership. 

  • The Process: The competent authority to register it is the Registrar of Firms in the state where the business is located. The partners submit a deed that includes the selected name. 

3. Private Limited Company or LLP

This is the most loved choice for startups that want to raise capital also. 

  • The Process: It involves the search for a unique business name using the RUN (Reserve Unique Name) web service on the MCA website. This is where people verify whether the business name is duplicated or original. Once discovered, the name can be claimed within 20 days. 

Step 3: Checking Availability Online

The applicant locks the time by verifying it from the MCA portal before the application. Then, the portal allows him or her to use the tool—"check company name. name." Here is how it can be done from the portal:

  1. Enter the proposed name.
  2. The system searches the database for matches.
  3. The duplicity will ask you to try variations. Otherwise, the portal proceeds to the next step when the name is available. 

Step 4: Applying via the RUN Service

Overall, companies and LLPs must use the Reserve Unique Name service to register a name for the business. Here is how:

  • Try submitting two unique names as per preference. Or hire a consultant to carry out this procedure end to end. 
  • The processing fee is variable in different states. It can be nearly 1,000 INR for companies. 
  • The application is then reviewed by a central officer. The name must meet the protocols like it must not be offensive or too generic. Nor should it resonate with existing brands.
  • Once the name meets guidelines, the officer approves it by sending an approval letter. It is then reserved for 20 days for a new company. And there are 90 days reserved for changing the name of the existing company. 

Step 5: Incorporating the Business

The reservation of the name marks the beginning of the business setup. After approval, a person must apply for the certificate of incorporation within those 90 days. 

Those who choose a private limited company to register file the SPICe form, which consists of other significant applications for these:

  1. Application for DIN (Director Identification Number)
  2. Reservation of name (if not done via RUN)
  3. Incorporation of the company
  4. PAN and TAN cards

Once these documents are done and verified, you receive a certificate of incorporation. It finally puts the stamp as the final proof of your legally registered business. 

Step 6: Trademark Registration (The Final Shield)

Despite registering and getting approval from the MCA, the person must not think that he owns the brand across all industries. To end this dilemma, the person should apply for a trademark for its total protection. 

A trademark comprises the logo registration, the brand name, and a citation. It prevents the duplicity of your brand name anywhere in India. So, the person should follow the process governed by the Controller General of Patents, Designs, and Trademarks.
